Duties and Responsibilities:
- Structure, negotiate, and document complex debt financing transactions (venture debt, asset-based lending, revolving facilities).
- Lead or support fund formation matters for private credit and venture funds.
- Draft and review credit agreements, security documents, intercreditor agreements, and equity documents.
- Advise clients on corporate governance, deal structuring, and closing high-value transactions.
Core Requirements (Flexibility for Exceptional Candidates):
- JD from an accredited law school and active bar admission (NY preferred).
- 5–12+ years of relevant experience in either debt finance (private credit / venture debt) or fund formation at a reputable law firm.
- Strong drafting, negotiation, and business acumen skills.
