Duties and Responsibilities:
Draft and negotiate corporate documents for fund formations, M&A, venture financings, and joint ventures.
Advise clients on governance, securities compliance, and transactional structuring.
Manage deal processes from term sheets through closing and post-closing matters.
Collaborate on cross-practice matters involving regulatory, tax, and real estate elements.
Core Requirements (Flexibility for Exceptional Candidates):
JD and active bar admission (NY preferred).
3β7+ years of corporate transactional or funds experience with strong drafting and negotiation skills.
