About the role
We are seeking an experienced Corporate & Business Law Attorney to join our fully remote legal team. The ideal candidate is an active member of the State Bar of Arizona with a strong command of commercial transactions, entity formation, and contract law. Working remotely, you will serve as a trusted legal advisor to business clients across industries — delivering practical, results-driven counsel from wherever you work best.
Responsibilities:
• Draft, review, and negotiate commercial contracts, NDAs, service agreements, and partnership documents.
• Advise on entity formation, corporate governance, and business structuring (LLC, Corp, partnerships).
• Ensure compliance with Arizona Revised Statutes and federal regulations.
• Manage M&A due diligence, asset purchase agreements, and transactional closings using virtual collaboration tools.
• Manage commercial disputes and pre-litigation strategy.
• Maintain client relationships and provide proactive legal counsel.
• Lead commercial dispute resolution and pre-litigation strategy with clients across time zones.
• Prepare and maintain corporate records, operating agreements, and regulatory filings digitally.
• Participate in virtual client meetings, team syncs, and partner reviews via video conferencing
• Build and sustain long-term client relationships through proactive, remote-first communication.
