Overview The Corporate Counsel will provide expert legal guidance to the organization, ensuring compliance with applicable laws and regulations, while supporting various business operations. The ideal candidate will act as a strategic partner in contract negotiation, risk management, and corporate governance, facilitating business growth while mitigating legal exposure. Responsibilities
Provide legal guidance on corporate transactions and agreements
Review, draft, and negotiate a wide variety of contracts and legal documents
Ensure compliance with applicable laws and regulations across various jurisdictions
Advise on corporate governance matters and internal policies
Collaborate with cross-functional teams to identify and mitigate legal risks
Conduct legal research to support business initiatives and decisions
Represent the company in legal proceedings and coordinate with outside counsel when necessary
Stay updated on changes in laws and regulations that may impact the organization
Minimum Requirements:
Juris Doctor (JD) degree from an accredited law school
Active membership in the state bar association
A minimum of 7 years of legal experience, preferably in a corporate setting
Experience in contract law and corporate transactions
Logistics experience with a focus on Transportation Law
Experience with Employment Law, Worker's Comp Claims, and Appeals
Preferred Requirements:
Familiarity with international business law
Proficiency in various software tools used for legal research and documentation
