We are seeking a detail-oriented and proactive Corporate Paralegal to support our legal team on a wide range of corporate, governance, and transactional matters. This role is critical in ensuring the smooth operation of corporate legal processes, maintaining compliance, and supporting attorneys in managing legal risk across the business. Key Responsibilities
Assist in the preparation, review, and management of corporate documents, including:
Board and shareholder resolutions
Corporate governance documents
Entity formation and dissolution filings
Maintain and update corporate records, minute books, and entity management databases.
Coordinate and support board meetings, including preparation of agendas and materials.
Assist with domestic and international entity management, including registrations and filings.
Support contract lifecycle management (CLM), including tracking, organizing, and archiving agreements.
Conduct legal and regulatory research as needed.
Assist attorneys with due diligence for mergers, acquisitions, and other transactions.
Liaise with external counsel, regulatory bodies, and internal stakeholders.
Monitor compliance deadlines and ensure timely filings (e.g., annual reports, state filings).
Help develop and improve legal processes, templates, and workflows.
Qualifications & Experience
Bachelor’s degree or Paralegal Certificate from an accredited institution.
Minimum 3–7 years of experience as a corporate paralegal (In-house or law firm).
Strong experience with U.S. corporate governance and entity management.
Familiarity with Secretary of State filings and corporate compliance requirements.
Experience supporting transactional work (e.g., M&A, financings) is a plus.
