**Position Overview **

The Head of Legal, Risk & Compliance (who also serves as Chief Risk Officer) is a senior executive accountable for the legal, regulatory, risk management, compliance, and governance obligations of DataCT LLC in its capacity as the independent Administrator of the CT Plan. The role is the principal legal and compliance partner to the Chief Administration Officer and is responsible for protecting the independence of the Administrator function, managing related-party considerations with DataCT subcontractors (including DataBP LLC), and ensuring full compliance with the governance framework of the CT Plan.

This is a hands-on, execution-focused role in a growing organization. The Head of Legal, Risk & Compliance builds and owns DataCT's legal operations, enterprise risk framework, compliance program, audit program, and regulatory engagement strategy, while advising the DataCT Board and the CT Plan Operating Committee on matters of independence, fiduciary conduct, and regulatory obligation.

DataCT operates under the independence, governance, and transparency framework established in the CT Plan and the Administrator RFP. All staff are expected to uphold the independence of the Administrator function, avoid actual or perceived conflicts of interest, and support the governance reporting obligations of the Operating Committee of CT Plan LLC.

**Core Responsibilities **

**Legal and Governance Leadership **

- Serve as the senior legal executive of DataCT LLC, providing counsel to the CAO, the DataCT Board, and (as required) the CT Plan Operating Committee.

- Lead drafting, negotiation, and administration of all material agreements, including the Administrator Services Agreement with CT Plan LLC, subcontractor agreements (including DataBP LLC and Deloitte entities), customer licensing agreements, and vendor contracts.

- Own corporate governance for DataCT LLC as a Delaware LLC operating in New York, including Board Books, resolutions, minutes, member consents, Operating Agreement maintenance, and governance charters.

- Manage related-party protocols and conflict-of-interest controls, with particular attention to transactions with DataBP LLC and Vondelpark Capital BV.

- Advise on the C-corporation tax election structure and cross-border ownership considerations (Dutch BV, disregarded-entity status) in coordination with external tax and accounting advisors.

**Risk Management and Enterprise Risk Framework **

- Design, implement, and maintain DataCT's enterprise risk management framework, including risk identification, measurement, monitoring, and reporting.

- Oversee operational, legal, regulatory, technology, cyber, third-party, and reputational risk programs.

- Produce the quarterly risk report to the DataCT Board and the CT Plan Operating Committee.

- Lead scenario and contingency planning for regulatory, technology, and market-structure disruption events.

- Coordinate insurance program strategy (D&O, E&O, cyber, crime, general liability) aligned to DataCT's risk profile.

**Regulatory and Compliance Leadership **

- Maintain DataCT's compliance with U.S. securities, SRO, and market-structure regulatory requirements, including the CT Plan, Regulation NMS, and Regulation SCI obligations that flow through the Administrator function.

- Own the control frameworks supporting SOC 1, SOC 2, ISO 27001, GDPR, CCPA, sanctions screening, and related standards as applicable.

- Oversee SOX-aligned financial controls in partnership with the Controller and external auditors.

- Manage regulatory inquiries, subpoenas, litigation holds, and examinations.

- Support policy and filings work with CT Plan counsel and external regulatory counsel as required.

**Audit and Control Oversight **

- Oversee the Licensing Audit function, which executes subscriber-facing audits of CT Plan licensing compliance.

- Coordinate internal and external audit programs, including SOC audits, financial audits, and independence certifications required under the CT Plan governance framework.

- Approve audit plans, review findings, and ensure timely remediation of control gaps.

- Maintain audit workpapers, management letters, and control attestations in accordance with retention obligations.

**Independence, Conflicts, and Governance Integrity **

- Serve as the principal custodian of DataCT's independence from individual CT Plan participants and from related parties.

- Maintain the conflicts register, related-party transaction register, and gifts/entertainment policy.

- Pre-clear material transactions, hiring decisions, and subcontractor engagements that implicate independence or related-party considerations.

- Report independence status quarterly to the DataCT Board and the CT Plan Operating Committee.

**Information Security, Data Protection, and Privacy **

- Partner with the shared CISO to oversee information security governance, security incident response, and regulatory notification procedures.

- Own privacy program design for DataCT, including data-subject rights handling, cross-border data transfer assessments, and records-of-processing.

- Approve data protection impact assessments for new products, subcontractor engagements, and material technology changes.

**Organizational Leadership **

- Build and lead the Legal, Risk & Compliance team as DataCT scales toward its target operating state in April 2027.

- Develop team operating rhythms, training curricula, and career progression pathways aligned with DataCT's Resourcing Experience and Expertise Classification Framework.

- Foster a culture of integrity, independence, transparency, and accountability consistent with DataCT's public-market role.

**Key Performance Indicators **

- Zero material breaches of independence, conflicts, or related-party protocols.

- Clean SOC 1, SOC 2, and financial audit opinions; timely remediation of any identified findings.

- Cycle time from intake to executed agreement for customer and vendor contracts.

- Timely closure of enterprise risk items and Board-level risk reporting delivered on calendar.

- Regulatory and examination readiness; no material regulatory findings.

- Compliance training completion across all DataCT staff.

**Qualifications **

- Juris Doctor (JD) from an accredited U.S. law school and active bar admission in New York (or eligible for admission under New York's in-house counsel or reciprocity rules).

- Fifteen or more years of progressive legal experience, including senior in-house leadership at a financial market infrastructure, SRO, exchange, SIP operator, or regulated market-data entity.

- Deep working knowledge of U.S. securities regulation, Regulation NMS, Regulation SCI, SRO governance, and market-data licensing frameworks.

- Demonstrated experience leading enterprise risk and compliance programs in regulated financial services environments.

- Experience managing related-party and independence matters in a governance-sensitive entity.

- Prior experience advising Boards and Board-equivalent governance bodies.

**Skills And Competencies **

- Executive legal judgment with ability to operate in a public-market-adjacent, reputation-sensitive environment.

**Position Overview**

The Head of Operations is the senior executive responsible for the end-to-end operational service delivery of DataCT in its capacity as the CT Plan Administrator. The role owns all day-to-day administrative operations — subscriber onboarding, usage tracking, direct and indirect billing, MISU processing, delinquency management, reporting, and compliance operations — and is accountable for meeting or exceeding Service Level Agreements committed under the Administrator Services Agreement.

This is a hands-on, build-and-run role. The Head of Operations will design, implement, and operate the scalable infrastructure required to support approximately 2,000 subscribers and the high-volume invoicing, revenue-allocation, and audit workflows that follow. The role works closely with DataBP LLC (technology services provider), Deloitte (PMO and accounting/receivables), and the SIP Processors, and is expected to instill a digital-first, continuous-improvement culture across the Operations function.

DataCT operates under the independence, governance, and transparency framework established in the CT Plan and the Administrator RFP. All staff are expected to uphold the independence of the Administrator function, avoid actual or perceived conflicts of interest, and support the governance reporting obligations of the Operating Committee of CT Plan LLC.

**Core Responsibilities**

**Operational Service Delivery**

- Own end-to-end operational delivery of all CT Plan Administrator functions, including subscriber onboarding, entitlement provisioning, usage tracking, billing, MISU handling, delinquency management, and customer service.

- Establish and maintain Service Level Agreements, Standard Operating Procedures, and runbooks for every operational process.

- Operate the direct-billed and indirect-billed subscriber programs and manage global account operations.

- Supervise vendor and subscriber reporting cycles, including usage declarations, exception handling, and reconciliation to billing.

**Technology and Infrastructure Oversight**

- Partner with DataBP LLC and internal/third-party technology teams to oversee the day-to-day operation, monitoring, capacity, and performance of DataCT's operational systems.

- Direct resilience programs, incident response, change management, and release management for operational systems.

- Ensure Regulation SCI readiness, including BCP/DR testing, cyber resilience, and required regulator coordination.

- Govern access controls, segregation of duties, and operational audit trails.

**Scalability, Capacity, and Digital-First Operations**

- Maintain a forward-looking capacity model covering subscriber growth, reporting complexity, and policy evolution.

- Champion a digital-first strategy that streamlines administrative processes, reduces operational risk, and maximizes operating leverage.

- Lead continuous-improvement and automation initiatives across licensing compliance, margin expansion, and revenue assurance.

- Ensure operational capacity to support approximately 2,000 subscribers at full operating state.

**Reporting, Analytics, and KPIs**

- Operate DataCT's Operational Analytics capability, including executive, Board, and Operating Committee dashboards.

- Produce monthly and quarterly operational performance reports covering SLA attainment, incident trends, billing accuracy, audit recoveries, and customer satisfaction.

- Establish, measure, and report operational KPIs consistently across all functions.

**Subcontractor and Vendor Management**

- Own operational performance management for DataBP LLC, Deloitte service lines (PMO, Accounting & Tax, Payroll), and other operational vendors.

- Administer SLA performance reviews, service credits, and escalation protocols.

- Coordinate independence certifications and conflicts attestations from operational subcontractors consistent with CT Plan governance obligations.

**Transition and Implementation**

- Lead the operational transition from legacy CTA and UTP Plan administration to the unified CT Plan Administrator model, including hot-cutover readiness by the contractual implementation deadline.

- Coordinate with SIP Processors, CT Plan counsel, Deloitte, and DataBP to deliver seamless subscriber and revenue migration.

- Operationalize all Standard Operating Procedures and Service Level Agreements by go-live.

**Organizational Leadership**

- Build and lead the Operations organization across Technology Operations, Reporting & Compliance Operations, Operational Analytics, and Level 1 Support.

- Develop operating rhythms, training, and career pathways consistent with the DataCT Resourcing Experience and Expertise Classification Framework.

- Foster a culture of operational excellence, transparency, customer responsiveness, and public-market integrity.

- SLA attainment across operational processes.

- Billing accuracy; dispute rate; days sales outstanding (operational component).

**Qualifications**

- Fifteen or more years operating market-data, exchange, SIP, or financial-market-infrastructure operations functions.

- Demonstrated track record building and scaling operations from an early state to full production in a regulated environment.

- Deep familiarity with usage-based licensing, subscriber billing, audit, MISU, and reporting workflows.

- Experience standing up Reg SCI, BCP/DR, incident-response, and resilience programs.

- Bachelor's degree required; advanced degree or industry certifications preferred.

**Position Overview**

The Head of Licensing and Relationship Management is a senior leadership position responsible for the commercial relationships, licensing policies, and pricing frameworks that DataCT administers on behalf of the CT Plan. The role leads a multidisciplinary team at full operating state consisting of Account Managers (3 FTEs), Pricing & Policy Management (1 FTE), Business Development (1 FTE), and Business Analysis (1 FTE). The Head of Licensing and Relationship Management is the public face of the CT Plan Administrator and directs the teams responsible for the commercial activities of the CT Plan.

This is a high-visibility leadership role that interfaces daily with CT Plan customers, the CT Plan Operating Committee and its Members, internal and third-party technology teams, Legal, Finance, Operations, and the DataCT executive team. The Head of Licensing and Relationship Management is expected to uphold the highest standards of transparency, consistency, and fairness in the application of CT Plan licensing policies, and to navigate ambiguous or novel use cases — including AI and machine learning training rights, redistribution, federated usage, embedded services, and downstream sublicensing — with clarity, rigor, and audit-ready documentation.

**Account Management - Client Success and Licensing Compliance**

- Build, lead, and coach a team of Account Managers delivering proactive, consultative service to CT Plan customers.

- Ensure the team can translate customer business practices into contractual obligations under the CT Plan licensing framework.

- Establish standards and playbooks for onboarding, renewals, entitlement changes, and exception handling.

- Develop ongoing training to maintain deep expertise in CT Plan policies, product-usage guidelines, and industry norms.

- Personally manage a small portfolio of strategic accounts (highest complexity or impact).

- Implement structured account planning, QBRs/EBRs, and satisfaction/NPS feedback loops.

- Escalate and resolve policy-interpretation disputes, working cross-functionally with Legal, Finance, and Operations.

**Pricing and Policy Management**

- Own the translation of the Consolidated Tape Plan's industry requirements into clear, enforceable licensing policies and pricing models.

- Lead and mentor Pricing & Policy Specialists who meet with the CT Plan Operating Committee to gather objectives, propose design options, run impact analyses, and author final policy documents for publication.

- Facilitate policy governance: RFC cycles, stakeholder reviews, approval workflows, and version control.

- Guide discussions on edge cases (e.g., derivative works, redistribution, model training, federated usage, embedded usage, and downstream sublicensing).

- Ensure policies are internally consistent, auditable, and technically implementable across DataCT's systems.

- Maintain a public-facing policy library with clear change logs and effective dates.

**Business Development and Industry Engagement**

- Identify and pursue growth opportunities aligned with DataCT's mission (new segments, bundles, compliant expansions, partnerships).

- Represent DataCT at industry events, client roundtables, and standards bodies; deliver presentations and thought leadership.

- Supervise a Business Development contributor responsible for pipeline tracking, event cadence, and outreach.

- Partner with the Communications Manager to produce collateral: policy explainer decks, licensing guides, case studies.

**Business Analysis and Technology Partnership**

- Oversee a Business Analyst who captures and prioritizes requirements for internal tooling (license provisioning, entitlements, compliance analytics, CRM integrations).

- Direct the Business Analyst to build business intelligence for leadership covering adoption trends, policy exceptions, renewal risk, pricing elasticity, and account health.

- Partner with Technology Operations, Product teams, and DataBP LLC on feature roadmaps, testing, and change management for policy-adjacent systems.

- Define and track KPIs (see below) and lead quarterly performance reviews.

**Operating Committee Engagement**

- Serve as a primary operational liaison to the CT Plan Operating Committee for commercial, licensing, and pricing matters in coordination with the CAO.

- Support formal voting, meeting coordination, and documentation requirements consistent with CT Plan governance obligations.

- Provide feasibility, risk, and impact analysis on proposed policy or pricing changes.

**Organizational Leadership**

- Build and scale the L&RM organization toward the full operating state target of April 2027.

- Develop operating rhythms, training, competency frameworks, and career pathways consistent with the DataCT Resourcing Experience and Expertise Classification Framework.

- Foster a culture of customer responsiveness, transparency, and public-market integrity.

**Key Performance Indicators**

- Policy cycle time: draft-to-approval and publication timelines.

**Qualifications**

- Ten or more years in exchange/SIP licensing management, policy/pricing, client success, or related roles, including five or more years leading multi-disciplinary teams.

- Expert understanding of capital markets, market-data usage, and policy frameworks.

- Strong customer-facing acumen: executive communication, influence without authority, and conflict resolution.

- Demonstrated success with external data creators/content owners or IP-heavy environments (data, content, software, APIs, analytics).

- Comfort navigating ambiguous or novel use cases (e.g., AI/ML training rights, redistribution, embedded services).

- Excellent writing and policy-authorship skills: precise, auditable, audience-appropriate.

- Analytical fluency (Excel/Sheets, BI tooling) and familiarity with CRM and contract lifecycle tools.

- Bachelor's degree required; advanced degree (JD, MBA, MS Information Systems/Policy) a plus.
