Responsibilities
- Draft, review, and negotiate a wide range of commercial contracts including MSAs, SaaS agreements, NDAs, vendor contracts, reseller agreements, and statements of work
- Serve as the primary legal advisor to business stakeholders across sales, product, marketing, HR, and finance
- Manage corporate governance matters, including board materials, entity management, and subsidiary compliance
- Advise on data privacy and security matters including GDPR, CCPA/CPRA, HIPAA, and emerging U.S. state privacy laws
- Oversee employment law matters including offer letters, separation agreements, internal policies, and workplace investigations
- Support mergers, acquisitions, investments, and financing transactions including due diligence and integration
- Manage intellectual property matters including trademarks, copyrights, trade secrets, and IP licensing
- Oversee litigation, disputes, and demand letters in partnership with outside counsel
- Monitor regulatory developments impacting the business and translate them into clear, actionable guidance
- Develop and maintain templates, playbooks, and self-service tools to scale the legal function
- Partner with compliance, security, and finance teams on risk management, audits, and policy development
- Manage outside counsel relationships and legal spend
Requirements
- JD from an accredited law school and active bar membership in at least one U.S. jurisdiction in good standing
- 4+ years of combined law firm and in-house legal experience, with at least 2 years focused on commercial contracts
- Strong drafting and negotiation skills across a broad range of technology and commercial agreements
- Working knowledge of U.S. data privacy regulations (GDPR, CCPA/CPRA) and technology-sector compliance issues
- Familiarity with SaaS, cloud services, and software licensing business models
- Experience advising on employment law matters at a U.S. multistate employer
- Exposure to corporate governance, M&A, or financing transactions is a plus
- Excellent business judgment — able to balance legal risk with commercial objectives
- Strong written and verbal communication skills, with the ability to translate legal concepts for non-legal stakeholders
- Highly organized with the ability to manage competing priorities across multiple business units
- Ability to work independently in a fully remote environment and build trusted partnerships across a distributed team
