Position Overview
Bullish is seeking a Corporate Legal Counsel to be a key driver in executing complex transactions and managing our global governance framework. We are looking for an experienced and collaborative team member to drive strategic mergers and acquisitions (M&A), complex corporate structuring and entity management. Reporting to the VP, Corporate Counsel, you will lead a wide range of legal matters with significant room for growth as Bullish expands its footprint in the digital asset space.
The ideal candidate will have experience at a top-tier law firm or a combined firm/in-house background, with a proven track record in M&A, corporate finance or strategic commercial transactions. You are a highly motivated self-starter who produces high-quality work in a fast-paced environment with strong attention to detail.
Responsibilities
  • Provide legal advice on M&A transactions and other corporate strategic initiatives, including structuring, due diligence and negotiation of term sheets and definitive transaction documentation.
  • Advise on a variety of capital markets transactions and associated legal documentation.
  • Assist in the preparation and review of securities filings, including annual/quarterly reports, proxy statements and earnings releases.
  • Manage the legal execution of intra-group transactions, including internal restructuring, capital injections and asset transfers.
  • Take lead ownership of the lifecycle for vendor and supplier contracts, including MSAs, SOWs and strategic partnerships.
  • Execute global entity management strategies, overseeing the registration, maintenance and optimization of legal entities across various jurisdictions.
  • Manage the lifecycle of board and committee meetings, including preparing resolutions and minutes with legal accuracy.
  • Demonstrate a proactive approach to efficiency by utilizing or implementing AI-driven tools and automation to streamline legal workflows, contract reviews and corporate record-keeping

Experience & Qualifications
  • Juris Doctor (JD) / Bachelor of Laws (LLB) or equivalent legal degree from an accredited institution.
  • 5+ years of corporate legal experience, with experience in M&A, corporate finance and/or capital markets.
  • Exceptional organizational skills and a meticulous attention to detail.
  • Highly motivated professional and a self starter who takes initiative and thrives in a "no job too big, no job too small" environment.
  • A collaborative team player who demonstrates a high level of professionalism and outstanding business judgment in high-pressure situations.
  • The ability to distill complex legal and structural risks into clear, actionable advice for non-legal business partners.
  • Proven ability to manage multiple projects, prioritize demanding workloads and meet tight deadlines independently.
  • Excellent written and verbal communication skills.

Bullish US LLC & CoinDesk Inc. are committed to offering competitive compensation and benefits. The anticipated base salary for this position is $215,000 - $250,000 + discretionary annual target bonus + performance incentives/benefits. Offered salary will be reflective of job related knowledge, skills and commensurate experience .
