**Requirements**

- Undergraduate and J.D. degrees, and a member of good standing of the New York bar or the equivalent.

- 10+ years of relevant work experience that includes experience with product counseling and the handling of a broad range of intellectual property, technology, data privacy and commercial transactions, with increasing levels of responsibility.

**Responsibilities**

As a key member of our legal team, you will be responsible for managing a diverse portfolio of complex legal matters. Your core responsibilities will include:

- Primary responsibility for international expansion efforts, including maintenance of global corporate entities and related corporate governance matters, working closely with finance and tax teams.

- Primary responsibility for real estate matters, working closely with the real estate team.

- Draft and negotiate a range of supplier agreements, including inbound SaaS licenses, and technology and implementation partnership agreements, working closely with procurement and business owners from all departments.

- Own other general corporate matters, intercompany agreements, and strategic reorgs.

- Acting as a partner and informal mentor to team paralegals.

- Identify and implement methods for improving and streamlining existing processes.

**What We’re Looking For On Your Resume**

- Juris Doctor (JD) degree.

- Licensed to practice in at least one U.S. state.

- 4-9 years of experience in a similar or relevant role at a top law firm or company.

- Significant transactional legal experience and/or corporate governance experience (prior public company / securities experience a plus).

- Excellent written and oral communication skills and attention to detail.

- Solution-oriented mindset able to work with cross-functional teams to ensure they are able to accomplish their objectives while still meeting standards.

**The Role**

We are hiring our first in-house legal team member to support LearnLux’s growth and day-to-day legal needs. This is a hands-on, execution-focused role with meaningful ownership. You will lead commercial contracting, support compliance and risk management, and serve as a key legal partner to the business. You’ll work closely with Sales, Client Success, and leadership to ensure contracts and legal decisions move forward efficiently, thoughtfully, and mitigate LearnLux’s risk.

This role requires someone who can operate with strong judgment and autonomy. You will be expected to make recommendations and decisions independently, reducing reliance on external counsel and minimizing the need for escalation to leadership.

This role is remote within the U.S., with a preference for candidates located near one of our hub locations (NYC or Denver). Occasional in-person collaboration at a hub is expected. This role reports to the COO.

**What You’ll Own**

**Commercial Contracting**

- Draft, review, and negotiate complex commercial agreements (MSAs, SaaS agreements, NDAs, vendor contracts)

- Partner directly with clients and internal stakeholders to move deals forward efficiently

- Provide clear, business-oriented recommendations on contract terms, risks, and tradeoffs

- Maintain and improve contract templates, fallback language, and negotiation frameworks

**Compliance, Risk, and Policy**

- Support company compliance efforts across privacy, employment, and general business operations

- Conduct legal research and translate findings into clear, actionable guidance

- Develop and maintain internal policies and processes that support scalable growth

**Legal Operations & Ownership**

- Serve as the primary point of contact for legal questions across the business

- Improve legal workflows, documentation, and processes to increase efficiency

- Manage and leverage external counsel where appropriate, while owning final outputs and recommendations

**Business Partnership**

- Build a strong understanding of LearnLux’s products, clients, and regulatory environment

- Act as a pragmatic advisor, balancing legal risk with business objectives

- Enable the business to move quickly while maintaining an appropriate risk posture

**You should bring**

- JD and active membership in at least one U.S. state bar (multiple states preferred)

- About 8–12 years of experience, including:

- Strong commercial contracting experience (SaaS/tech preferred)

- Experience supporting high-growth or startup environments

- Demonstrated ability to operate as a solo or first legal hire

- Experience with global legal/compliance issues (directly or via managing outside counsel)

- Strong business judgment and ability to balance risk with growth

- J.D. from top law school with strong academic credentials

- 4+ years' experience (law firm experience required; in-house experience a plus but not a prerequisite)

This position will require a skilled lawyer to provide legal advice to various investment banking trading and lending desks, including the supervising of outside counsel.

You will be an integral part of the Bank’s lending, finance and securities coverage team within the investment bank, negotiating transaction documents and providing legal advice and legal and risk assessments for complex transactions, including cross-border transactions.

**What You’ll Do **

- Broad transactional coverage of the Firm’s fixed income asset backed lending, securitization, and structured finance businesses within the Deutsche Bank Investment Bank

- Support multi-strategy businesses that originate, purchase, trade in, make markets and advise on and/or securitize large positions in commercial and residential mortgages, mortgage related securities, aircraft, consumer and auto loans, collateralized loan obligations (CLO), Asset Backed Securities (ABS), and other loan products

- Solid experience in warehouse lending transactions, capital markets, asset acquisition, ABS, CMBS, Residential Mortgage-Backed Securities (RMBS), CLO, aircraft, consumer, auto and other asset backed transactions

- Experience representing underwriters, issuers, and managers in a wide range of ABS, CMBS, RMBS, CLO, aircraft, consumer, auto and other asset backed financings including registered public offerings, exempt transactions, and international and domestic offerings

- Draft, review, and advise on a wide variety of lending documents, structured finance, warehouse lending transactions and other related loan products. Experience with certain derivatives transactions and swaps coverage is also a plus

- Advise the trading and structuring groups in relation to the legal and regulatory framework governing the securities and structured finance markets, including without limitation the Securities Act of 1933, the Securities Exchange Act of 1934 and Dodd-Frank

- Provide advice to senior Legal Department management on transactional legal requirements, best practices and technology tools and solutions

- Familiarity with Dodd Frank and other securities laws and regulations governing the structured finance market including broker-dealer regulations and the Volcker Rule (a plus but not required)

Minimum Education

The Manager, Data Science is a technical managerial position that provides technical and organizational leadership to deliver Data Science products. This person engages with department leadership to understand strategy to align long term data science initiatives and budgets with product roadmaps and business requirements. What You'll Do:

- AGILE AND VALUE BASED DELIVERY: Lead, research, strategize, design, implement, document and evangelize Data Science products from incubation to deployment to monitoring. Responsible for team level OKRs related to product modules and agile delivery.

- FRAMEWORK, TOOLING, AND BEST PRACTICES: Facilitate the delivery of enterprise wide, production grade, and accurate data science products by establishing and standardizing tooling and process frameworks for best practices that produce maintainable code, automated testing, and CI/CD. - CODE AND DELIVERABLE QUALITY: Provide technical code review for delivery work; ensure adherence to Responsible AI framework, ensure model interpretability, explainability, and model KPIs (both functional and non-functional)

- LEADERSHIP: Manage, mentor, and coordinate the team of data scientists, product managers, analysts, and vendors/contractors to meet project goals and expectations. Facilitate the team to master full stack technical capabilities. Deep dive with Data Scientists on the design and performance of AI services. Explain data science approach and results to Business and IT stakeholders in understandable terms.

- STRATEGIC LEADERSHIP: Actively participate in the development of the company's data science strategy and roadmap, working closely with senior leadership.

- DOMAIN LEADERSHIP: Stay up-to-date with healthcare industry trends and AI technologies, bringing new ideas and best practices to CT&I.

- PRODUCT DEVELOPMENT MINDSET: Communicate with senior management and stakeholders to ensure alignment of goals and priorities through an unrelenting focus on end users. Develop and track data product OKRs for measurable value creation for the enterprise.

What qualifications you will need:

- Bachelor’s Degree in Computer Science or related field

- 4+ years of overall experience in various aspects of data science and machine learning with demonstrated progressive responsibilities; particularly in Predictive Modeling, Optimization and/or Operations Research

- Expert experience in SQL and Python

- Experience with structured and unstructured data (ie. tabular, text, images, video, etc)

- Experience with SQL relational and non-relational databases

- Experience with data processing and ETL tools (e.g Apache Spark)

- Experience with data visualization and data monitoring tools

- Experience with Infrastructure as Code (IAC) such as Terraform, Github Actions, and Docker

- Experience with cloud deployments in GCP or another cloud platform

- Experience with Agile development methods and tools (e.g. Azure Dev Ops)

- Excellent communication and collaboration skills, with the ability to work effectively across multiple teams and stakeholders

- Strong leadership skills with a proven track record of motivating, mentoring, and managing multidisciplinary data science and engineering teams

- Ability to tell a story using data and insights that drives action and change

- Demonstrated leadership in a fast-paced environment with decisiveness, consensus-building, empathy and kindness

**Preferred Requirements**
